FRYE ISLAND INCORPORATED (FII) STOCKHOLDERS MEETING
SATURDAY, JULY 1, 2000

a. The meeting was called to order by President Joe Potts at 9:10 AM.

b. The floor was open for nominations for FII Board of Directors. The following people were nominated: Diane Babineau, Steve Comley, Dave Decker, Bill Gately, Dick Giggey, Carl Hommel, Fritz Mueller, Dennis Stafford, Oleg Svetlichny, and Mark Thomas.

c. The nominees made brief statements, and the votes taken.

d. The meeting was recessed at 9:35 AM while the tellers, Jim Kuiken and Marge Hommel, counted the ballots.

e. The meeting was called from recess at 10:15 AM, and the following were announced as elected: Diane Babineau, Steve Comley, Dave Decker, Bill Gately, Dick Giggey, Carl Hommel, Fritz Mueller, Oleg Svetlichny, and Mark Thomas.

f. The meeting was adjourned at 10:20 AM.
